Customer terms
Purpose: the terms on which a business uses Clexen to get and compare equipment quotes, and what happens when it chooses one. Parties: Clexen and the Customer.
Acceptance triggers:
- Sending a Request accepts sections 1 to 5 and 8 to 10. The notice sits beside the send button, and a consent record is kept.
- Choosing a Quote accepts section 6 and the Standard Rental Conditions as the default terms between the Customer and that Partner. The notice sits beside the "Choose this quote" button, and a consent record is kept.
At a glance
- Asking for quotes is free. Sending a Request does not commit you to rent.
- Partners on a paid Clexen plan quote. You see each partner's rate and terms before you know their name.
- Your mobile number goes to a Partner only when you choose that Partner's Quote, or if you ask us to share it earlier.
- Choosing a Quote introduces you to that Partner; it is not an order. You then place your own work order directly with the Partner, who invoices you and is paid by you directly. No order or payment is made on Clexen, and Clexen never takes rent, deposits or advances (Document 01, section 3).
- Clexen is paid by Partners (a plan fee and a success fee). You pay Clexen nothing.
- Unless you and the Partner agree otherwise in writing, the Standard Rental Conditions apply to your Order.
1. Our service to you
1.0 For businesses only. Clexen's service is for companies, firms and other businesses hiring Equipment for their work, not for personal use. You send a Request on behalf of your business, and you confirm that you are authorised to do so.
1.1 Clexen will:
- review your Request and may call you to clarify it;
- send it to Partners we reasonably judge suitable, based on equipment type, capacity, location, availability and past performance (see Document 15);
- show you their Quotes on your Request Page, without naming the Partner;
- on Choice, share your details with the chosen Partner and show you the Partner's name and contact;
- follow up to help with dispatch, extensions, changes and problems.
1.2 Clexen does not promise:
- any number of Quotes, or that any Quote will be received;
- a particular price, response time or availability;
- that a Partner will accept the Order after Choice.
If a Partner withdraws after Choice, we will try to arrange another Quote.
1.3 Clexen does not inspect Equipment, test Operators or visit Sites unless it agrees to do so in writing for a particular Order.
2. Your Request
2.1 Be accurate. Describe the Equipment, capacity, duration, dates, Site, working hours, operator and fuel needs, and any site rules honestly and completely. Quotes depend on it. Tell us promptly if anything changes.
2.2 Know your site. Lifting and access equipment depends on load weights, radius, height, ground-bearing capacity, overhead lines and access routes. Ask the Partner to confirm suitability before you choose. Where the work needs one, have a competent person prepare a lift plan.
2.3 We may adjust or decline. Clexen may edit a Request for clarity, remove details that would identify you before Choice, combine duplicates, or decline a Request that appears false, unlawful, unsafe or outside the Platform's scope.
3. Quotes
3.1 A Quote is the Partner's proposal, not Clexen's, for you and the Partner to take forward directly.
- It is valid until the date it states. If none is stated, it is valid for 3 days.
- Rates exclude GST unless the Quote says otherwise.
- Check what is included: operator, fuel, mobilisation and demobilisation, shifts, minimum billing, payment terms and Deposit.
3.2 Clexen shows Quotes as the Partners give them. Clexen may:
- correct obvious typing errors after checking with the Partner;
- show a calculated comparison, such as an estimated total for your duration. A comparison is an estimate; the Quote's own terms govern.
4. Your details and confidentiality
4.1 Before Choice, Partners see your Request details: equipment, quantity, Site city or area, dates, duration and notes. They do not see your name, company, mobile or email, unless you ask us in writing to share them earlier.
4.2 On Choice, your name, company, mobile, email and GSTIN (if given) are shared with the chosen Partner, so that the Partner can confirm and perform the Order. Document 10 explains this sharing.
4.3 Keep your Request Page link private. Anyone with it can see your Quotes.
5. Changes, extensions and cancellation through Clexen
You can ask for a change, an extension or a cancellation on your Request Page. Clexen passes it to the Partner and records it. Clexen cannot agree to it on the Partner's behalf. The Order and Document 06 decide any charges.
6. Choosing a Quote and your Order
6.1 When you click Choose this quote, you:
- ask Clexen to introduce you to that Partner so that you can discuss and, if you wish, place a work order on the Chosen Quote;
- authorise Clexen to share your details with that Partner;
- agree that, if you and the Partner confirm the Order, the Standard Rental Conditions apply to everything the Chosen Quote and your written Order do not cover.
6.2 Who your contract is with. Choice does not create a contract. Your Order is made outside the Platform, when you issue your own purchase order or work order to the Partner and the Partner accepts it. The Order is between you and the Partner alone. The Partner:
- supplies the Equipment and, if agreed, the Operator;
- issues the tax invoice;
- receives your payment;
- is responsible for the Equipment's fitness, documents and insurance under Document 06.
You are responsible to the Partner for payment, Site conditions, safe use and the Equipment's care while it is in your custody.
6.3 Paying.
- Pay only the Partner, to the bank account on the Partner's own invoice or letterhead.
- Clexen will never ask you to pay rent, a deposit or an advance to Clexen.
- If anyone asks you to pay Clexen for an Order, or to a new account, call +91 99992 25725 before paying.
- Clexen is not responsible for payments made to an account Clexen did not give you.
6.4 Your own purchase terms. If you issue a purchase or work order on your own terms, tell the Partner which terms apply. Where your terms and the Chosen Quote differ, the terms you and the Partner agree in writing prevail (Document 01, section 2).
6.5 Small enterprises. If the Partner is a micro or small enterprise registered under the MSMED Act 2006, the law may require you to pay within 45 days of acceptance. Interest may accrue on late payment. Ask the Partner whether it is registered.
7. Ratings
After an Order, we will ask you to rate the Partner. Rate honestly, based on your own experience. Document 13 explains how ratings are used. We publish your comment only if you tick the box allowing it.
8. Clexen's responsibility to you
8.1 Clexen provides its service with reasonable care and skill. Our liability is limited as set out in Document 02, section 7.
8.2 Claims about the Equipment, Operator, delivery, invoice or Deposit are against the Partner. Clexen will help under Document 14:
- by sharing the records it holds, such as the Quote, messages, Handover and Return Records, and dates;
- by asking the Partner to respond.
9. Communications
By sending a Request, you agree that Clexen and, after Choice, the chosen Partner may call, SMS, email or WhatsApp you about that Request and Order. Marketing messages need your separate consent (Document 12).
10. General
Documents 01, 02, 10, 13, 14 and 15 form part of these terms. Indian law applies, and disputes are resolved under Document 14. Changes apply only to Requests sent after the change.
