Terms of use

Purpose: the ground rules for using clexenrentals.com. Parties: Clexen and every User. Acceptance trigger: using the site, with a footer link on every page. This is informational browsewrap. Clexen relies on it only for site-use rules, never for fees or liability transfers, which need the clickwrap in Documents 03 and 04.

At a glance

  • Clexen runs an online marketplace. It connects businesses that need construction and industrial equipment (Customers) with businesses that rent it out (Partners).
  • Clexen does not own, rent out, operate or insure any Equipment. Clexen does not collect rent, deposits or any money from Customers.
  • Partners pay Clexen. Using the site is free for Customers.
  • Please use the site honestly and lawfully. Complaints go to our Grievance Officer at support@clexenrentals.com.

1. About these terms

1.1 These Terms of Use apply to everyone who visits or uses the Platform. Capitalised words are defined in Document 01, which forms part of these terms.

1.2 Additional terms apply when you take certain actions:

  • the Customer Request Terms (Document 03) when you send a Request;
  • the Partner Platform Agreement (Document 04) when you register as a Partner.

1.3 Clexen is a service business. It provides listing and introduction services to Partners for a fee, and a free request service to Customers. It is not a seller, and it does not facilitate or collect payment for any sale or hire between Customers and Partners. Clexen is an "intermediary" under the Information Technology Act 2000 for the content Users post. It publishes these terms, the Privacy Notice and the Grievance Policy, and it follows the transparency and grievance standards of the Consumer Protection (E-Commerce) Rules 2020 as good practice.

2. What Clexen does and does not do

2.1 What we do. We:

  • publish information about equipment categories;
  • take Requests;
  • send each Request to Partners we judge suitable;
  • collect and show their Quotes without naming the Partner until Choice;
  • share contact details after Choice;
  • follow up with both sides to help the Order go smoothly.

2.2 What we do not do. We are not the owner, lessor, carrier, operator, insurer, employer of operators, or agent of any Partner or Customer. Equipment is supplied under an Order between the Customer and the Partner. Clexen does not:

  • set the Partner's rent;
  • guarantee availability, quality, fitness, safety, timeliness or legal compliance of Equipment or Operators;
  • guarantee that a Customer will pay;
  • receive or hold rent, deposits or advances for Orders.

2.3 Help is not responsibility. When our team follows up on dispatch, breakdowns, extensions or disputes, we do it to help. It does not make Clexen a party to the Order or liable for either side's obligations.

2.4 Information on the site.

  • Specifications, photos, capacities and indicative rates are general guidance from manufacturers, Partners and public sources. Category photos may be representative.
  • A Quote and the Order decide what is actually supplied.
  • Figures about Clexen's network, such as partner counts, cities served and years in operation, are based on Clexen's records on the date shown. Clexen keeps evidence for them.

3. Using the Platform

3.1 Eligibility.

  • You must be at least 18 and able to contract under Indian law.
  • You must use the Platform for business purposes: construction, industrial, infrastructure, events or similar.
  • If you act for a company, firm or other organisation, you confirm you are authorised to bind it.

3.2 Your details. Give accurate details and keep them up to date. Do not use another person's number or email without their permission.

3.3 Accounts and links.

  • Partner logins, one-time passwords, password links and Request Page links are personal. Keep them private.
  • Anyone holding the link to a Request Page can see that Request. Do not forward it.
  • Tell us at once at support@clexenrentals.com if you suspect misuse.

3.4 You must not:

  1. post false, misleading or duplicate Requests or Quotes, or Requests you do not intend to pursue;
  2. impersonate anyone, or misrepresent your business, GSTIN, ownership of Equipment or authority;
  3. use the Platform to arrange anything unlawful, or to rent Equipment for use that breaks the law;
  4. scrape, copy or harvest data, Partner details or Requests, or run bots or automated queries;
  5. probe, test or overload the Platform's security, or introduce malware;
  6. upload content that is defamatory, obscene, infringing, misleading, or otherwise prohibited by rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021;
  7. contact the other side of a Request to avoid Clexen's fees (Partners: see Document 04).

3.5 Our response to misuse. We may remove content, refuse a Request or Quote, or suspend or close access if we reasonably believe these terms or the law have been broken. Where lawful and practical, we will tell you why and give you a chance to respond. We comply with lawful orders of courts and government agencies, and may share information as those orders require.

4. Intellectual property

4.1 The Platform's design, text, data compilations, software, and the name and logo CLEXEN belong to Clexen or its licensors. CLEXEN® is a registered trade mark of Clexen Rentals Private Limited.

4.2 You may view and print pages for your own business use. You may not copy, republish or commercially exploit them without written permission.

4.3 Customer logos and testimonials are shown with permission. They do not mean the named company endorses any particular Partner.

4.4 To report content that infringes your rights, follow Document 14, section 5.

4.5 Manufacturer names and trade marks. Equipment manufacturers' names, model names and logos are trade marks of their owners. Clexen uses manufacturer and model names only to describe the type, size and make of equipment that Partners offer, so that Customers can find and compare it. This use does not mean that any manufacturer is connected with, sponsors, approves or endorses Clexen or any Partner. Clexen is not an authorised dealer, distributor or service agent of any manufacturer unless it says so expressly on the page concerned.

4.6 Equipment images. Images on category and catalogue pages are representative. They show the kind of equipment in that class and may show a different make, model, year, colour or attachment from the Equipment a Partner will supply. The Equipment supplied is the one described in the Partner's Quote and the Order. Where an image was supplied by a Partner, it is labelled as the Partner's photo. Images belong to their owners and may not be copied from the Platform. If you own an image shown here and did not agree to its use, report it under Document 14, section 5. Clexen will act on the report as that section describes.

4.7 Specifications and model information. Model lists and specifications are compiled from manufacturers' published information and from Partners, and are given for guidance only. Manufacturers change specifications without notice. Before relying on a figure such as lifting capacity, working height, operating weight or output, confirm it with the Partner and the manufacturer's current documentation. Safety-critical limits always come from the machine's own load chart, manual and plate.

4.8 Catalogue data. The structure, descriptions and model lists of the Clexen catalogue are a compilation that belongs to Clexen. They may not be extracted, scraped or reused in bulk without Clexen's written permission.

The Platform uses third-party services: hosting, email, messaging, maps, payments for Partners, and analytics if you accept them. Links to other sites are for convenience only. Clexen is not responsible for their content, terms or privacy practices.

6. Availability

We work to keep the Platform available and accurate. We do not promise that it will be uninterrupted or error-free. We may change, suspend or withdraw features. Where a change materially affects Partners, Document 04 sets out the notice we give them.

7. Liability

7.1 No liability for Orders. Clexen is not liable for any loss arising from an Order, the Equipment, an Operator, the Site, or the acts or omissions of a Customer or Partner. Clexen does not supply, control or operate the Equipment.

7.2 Cap. For anything else arising from your use of the Platform, Clexen's total liability to you is limited to the greater of:

  • the fees you paid Clexen in the 12 months before the claim arose (nil for Customers); or
  • INR 10,000.

Clexen is not liable for indirect or consequential loss, or for loss of profit, business or data.

7.3 What is not limited. Nothing in the Clexen Documents limits:

  • liability for fraud;
  • liability for death or personal injury caused by Clexen's negligence;
  • any liability that cannot be limited under Applicable Law;
  • rights a consumer has under the Consumer Protection Act 2019 that cannot be waived.

7.4 Your indemnity. You will make good any loss Clexen suffers from a third-party claim caused by your breach of these terms or of the law in using the Platform. Clexen will:

  • tell you promptly about the claim;
  • let you take part in its defence;
  • take reasonable steps to limit the loss.

8. Changes to these terms

  • We may update these terms. The version number and effective date are shown at the top.
  • If a change materially reduces your rights, we will give reasonable notice on the site before it takes effect.
  • Changes do not apply retrospectively to a Request already sent or an Order already placed.

9. Law, disputes and contact

9.1 Indian law governs these terms. Disputes are resolved under Document 14.
