Partner fees, billing and refunds

Purpose: sets out exactly what Partners pay Clexen, when, how it is invoiced, and when money is refunded or credited. Parties: Clexen and each Partner. It forms part of Document 04.

Acceptance triggers:

1. accepted with Document 04 at registration;
2. shown again beside the Pay button for every Plan payment, which is recorded with the payment;
3. each fee confirmed per Quote by the fee acknowledgement.

1. Plan Fee

1.1 When you pay.

• Registration is free.
• When Clexen has a Request that matches your listing, it tells you and asks you to activate a Plan before your Quote is sent.
• If you do not activate within the time shown, the Request goes to other Partners.

1.2 What the Plan gives you. For its term, the Plan gives you access to matching Requests and the Partner App, with no per-Request charge. The Success Fee is separate.

1.3 Renewal. Clexen never auto-debits your account. We remind you 30, 15 and 3 days before your Plan ends, by email and in the Partner App, with a one-tap renewal link. Renewing early never loses days: the new term starts the day after the current one ends. If your Plan lapses, your listing, ratings and history stay. When a new matching Request arrives, we offer it to you with a renewal link, just as when you first joined.

1.4 Negotiated prices. Clexen may agree a discount or different price with an individual Partner in writing, through an admin-approved offer. Such a price applies only to that Partner and that Plan.

2. Success Fee

2.1 When it is due. It is due for every Order a Customer places with you, off the Platform, after Clexen introduced you on a Chosen Quote, and for every order covered by Document 04, clause 7 (non-circumvention).

2.2 How it is calculated. It is calculated on the First-Month Value: the value of the first calendar month of the Order, or of the booked period if shorter. The value is rent only. It excludes mobilisation, demobilisation and GST (Document 01). Marginal slabs apply:

The fee is at least INR 500 and at most INR 1,50,000 per Order, plus GST.

Worked examples (GST at 18%):

• First-Month Value INR 3,00,000.
  • 8% of INR 1,00,000 = INR 8,000.
  • 5% of INR 2,00,000 = INR 10,000.
  • Fee INR 18,000 + GST INR 3,240 = INR 21,240.
• A 2-day hire worth INR 4,000. 8% would be INR 320, so the minimum applies: INR 500 + GST INR 90 = INR 590.

2.3 No fee on extensions. Extensions of the same Order beyond the first month or booked period carry no Success Fee. A new Order for different Equipment or a new Site is a new Order.

2.4 When it becomes payable.

• The fee is recorded as "pending" at Choice.
• It becomes payable on the On-Site Date.
• Clexen invoices it, and you pay within 7 days of the invoice.
• If the Equipment never reaches Site because the Order is cancelled, no fee is payable.

2.5 Adjustments.

• If the rate, quantity or duration agreed with the Customer differs from the Chosen Quote before the On-Site Date, the fee is recalculated on the agreed First-Month Value. You must report the change under Document 04, clause 5.2.
• Once the Equipment is on Site, the Success Fee is final. It is not reduced or credited if the Customer releases the Equipment early, pays you late, or the Order ends for any reason. The fee pays for work already complete when your machine reaches the Site: finding the Customer, putting your Quote in front of them, and winning you the Order. Clexen charges only on the first month for the same reason, so every extension of that Order is free. The longer the Customer keeps your machine, the more you earn with no further fee.

3. Invoices, GST and payment

3.1 Clexen issues GST tax invoices from its registered office. The GSTIN and legal name are those in your billing details, so keep them accurate. Place of supply follows the GST law: generally your registered location, so IGST applies for Partners outside Delhi.

3.2 How to pay. Pay through the payment link in the Partner App (Razorpay: UPI, cards, net banking) or by bank transfer to the account printed on Clexen's invoice. Never pay into any other account. Clexen will never ask you to pay it in cash.

3.2A TDS, made simple. Pay each Clexen invoice in full, as you do with most online services. If your business deducts TDS on our fee, you don't lose a rupee: after you file your quarterly TDS return, email the Form 16A to accounts@clexenrentals.com, and we refund the TDS amount to your bank account within 7 Business Days of it showing against Clexen's PAN. TDS applies to our fee before GST. Please send each quarter's certificate by 30 June after the end of that financial year.

3.3 Questions about a fee. Raise them through "Query this fee" or at accounts@clexenrentals.com within 30 days of the invoice. Clexen will reply within 10 Business Days. The undisputed part remains payable.

3.4 Late payment. See Document 04, clause 6.2: Requests are paused, interest is charged at 18% a year (or the higher MSMED Act rate), and the amount is recovered.

4. Refunds and credits

Refunds are processed to the original payment method with a GST credit note. Bank or gateway timelines may add a few days.

5. Fee changes

Clexen will give at least 30 days' notice of any fee change (Document 04, clause 13). Changes never apply to Quotes already sent, Orders already placed or Plans already paid for.

6. Illustrations and estimates

6.1 Statements on Clexen's website such as "one month on hire through Clexen usually covers a whole year's Plan" compare the Annual Plan price (INR 24,000 plus GST) with typical monthly rents for commonly hired machines, such as cranes, hydras and excavators. They are illustrations, not promises. Rents vary by machine, city, season and demand, and a smaller or lower-rent machine may take more than one month on hire to cover a Plan.

6.2 Clexen does not promise any number of Requests, Quotes chosen, Orders, rent or earnings. The fee calculator and worked examples are illustrative. The Success Fee for an Order is the one shown with that Request before you quote (section 2).
