2. Interpretation

  1. Order of precedence for an Order:
    1. terms the Customer and Partner expressly agree in writing for that Order;
    2. the Chosen Quote;
    3. Document 06, the Standard Rental Conditions.
  2. Order of precedence between Clexen and a Partner:
    1. a signed side letter, if any;
    2. Document 04;
    3. Document 05;
    4. the other Clexen Documents.
  3. Order of precedence between Clexen and a Customer:
    1. Document 03;
    2. Document 02;
    3. the other Clexen Documents.
  4. Headings and "at a glance" boxes help reading. If a box and the full text differ, the full text applies. Clexen will correct the box.
  5. "Including" means "including without limitation". The singular includes the plural.
  6. "Written" includes email, a message on the Platform and WhatsApp. It does not include a phone call unless it is confirmed in writing.
  7. Amounts are in Indian rupees and exclude GST unless stated.
  8. A reference to a law includes any amendment or re-enactment of it. This includes the Income-tax Act 2025 from 1 April 2026.
  9. If an English version and a Hindi or Hinglish version differ, the English version applies. Clexen will try to make translations accurate.
  10. If any provision is held invalid, the rest continues in force. The invalid provision is read down to the extent needed to make it valid.

3. Clexen's role: no transactions take place on the Platform

This section applies to, and prevails in, every Clexen Document.

3.1 An introduction service, not a marketplace for payments. The Platform helps Customers describe their needs, receive and compare Partners' Quotes, and be introduced to the Partner they prefer. No hire, sale, booking, order or payment between a Customer and a Partner is made, concluded, processed or recorded as a transaction on the Platform.

3.2 Quotes and Choice create no contract.

  • A Quote is the Partner's proposal.
  • Choice is the Customer's request to be introduced to that Partner.
  • Neither is an order or an acceptance, and neither creates a rental contract between the Customer and the Partner.

3.3 Every Order is made off the Platform, directly between the two businesses.

  • The Customer issues its own purchase order or work order to the Partner, and the Partner accepts it.
  • The Partner raises its own tax invoice to the Customer, and the Customer pays the Partner directly into the Partner's own bank account.
  • Deposits, advances, credit terms, tax deducted at source by the Customer under Applicable Law, changes, extensions and settlements are all agreed and paid between them directly.

3.4 Clexen does not touch the transaction. Clexen does not:

  • collect, receive, hold, route, escrow or release any money for an Order;
  • issue or receive any invoice for an Order;
  • set, approve or guarantee the rent or any term of an Order;
  • act as a party to, agent for, or guarantor of any Order.

3.5 Clexen's own fees are separate.

  • Partners pay Clexen for its introduction and platform services under Document 05, on Clexen's own invoices.
  • Customers pay Clexen nothing.
  • Clexen's fee is not part of, and is never collected from, the Order price.

3.6 Why it works this way. Each business keeps full control of its own commercial terms, credit, tax compliance and records. Money moves only between the two parties that actually supply and use the Equipment. No payment is ever delayed or held by a third party.

3.7 Protection against fraud. If anyone asks for Order money to be paid to Clexen, through the Platform, or to an account not printed on the Partner's own invoice, do not pay. Call +91 99992 25725 first.
